These Terms and Conditions (“Terms”) govern your access to and use of the UPI Soundbox Alert mobile application, website, software, and related services (collectively, the “Platform”), operated by HouseofTech Innovation Pvt Ltd (“we”, “us”, “our”, or the “Company”).

By accessing, downloading, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

UPI Soundbox Alert is a software “soundbox” for shopkeepers and merchants. It reads the UPI / bank transaction SMS sent to your phone, detects the received amount, and announces it aloud by voice so you can confirm payments hands-free. The App is an informational aid only. It is not a payment processor, bank, or UPI provider, and it does not collect, hold, transfer, or settle any money.

2. How the Alert Works & Its Limitations

• To detect payments, the App requires SMS permission (READ_SMS / RECEIVE_SMS) and an active mobile connection that receives transaction messages. SMS content is processed on your device, as described in our Privacy Policy.
• If a transaction SMS is delayed, blocked, filtered as spam, not sent by your bank, or formatted in an unexpected way, the corresponding announcement may be delayed, incorrect, or missed entirely.
• The App may not support every bank or UPI provider, and SMS formats can change at any time without notice.
• You are responsible for verifying every payment in your official bank / UPI app before delivering goods or services.

3. Eligibility

• You must be at least 18 years old and using the App for a lawful business or personal payment-tracking purpose.
• By using the Platform, you confirm that you have the legal capacity to accept these Terms.

4. Account Registration

• Account creation is performed via OTP-based mobile verification.
• You are responsible for the security of your registered phone number and OTP.
• You agree to provide accurate and complete information.
• We may suspend or terminate accounts with false, misleading, or shared credentials.

5. License & Usage Rights

5.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your own business or personal payment-alert purposes.

5.2 Restrictions

You agree not to:

• Resell, sublicense, or commercially redistribute the App or its features.
• Reverse engineer or attempt to extract source code or detection logic.
• Use the App to read, process, or misuse SMS belonging to another person without their consent.
• Use the Platform for any unlawful, fraudulent, abusive, or harmful purpose.
• Share your account, OTP, or active subscription with others.

6. Subscription, Pricing & Payments

• Premium features are available through paid subscription plans.
• Current pricing is displayed inside the App and on the paywall screen at the time of purchase.
• Prices are in INR and inclusive of applicable taxes unless stated otherwise. Prices may change at any time without prior notice; existing active subscriptions remain at the price agreed at purchase until renewal.
• Payments are processed securely via RBI-licensed payment gateway partners (such as Razorpay, PhonePe, or similar providers) supporting UPI, cards, netbanking, and UPI Autopay. The active payment gateway may change from time to time without prior notice.
• We do not store your full card or banking details on our servers.
• Subscriptions auto-renew via UPI Autopay or card mandate until cancelled. See our Payment & Cancellation Policy for full details.

7. Refund & Cancellation

• You may cancel auto-renewal at any time before the next billing cycle. Cancellation prevents future charges; current period access continues until expiry.
• Due to the digital nature of the service, all completed payments are non-refundable except where required by applicable law.

8. Disclaimer

• UPI Soundbox Alert is provided only as a convenience aid for noticing incoming payments. It is not an official record of any transaction.
• We do not guarantee that every payment will be detected, announced, or announced accurately or on time.
• We are not responsible for any business loss, missed payment, wrong delivery, dispute, or damage arising from a missed, delayed, duplicate, or incorrect announcement. Always verify payments in your bank / UPI app.
• We are not a party to any transaction between you and your customer.

9. Intellectual Property Rights

• All software, design, branding, voices, and content on the Platform are owned by or licensed to HouseofTech Innovation Pvt Ltd.
• You receive a personal-use license only; no ownership transfers to you.
• Unauthorised commercial reproduction, redistribution, or modification may result in legal action.

10. Third-Party Services

• The Platform integrates third-party services such as payment gateway partners (e.g., Razorpay, PhonePe), voicensms.in (OTP delivery), cloud storage providers, and analytics tools.
• These services operate under their own terms and privacy policies. We are not responsible for their independent functionality or policies.

11. Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms or applicable law.
• Payments fail, are disputed, or charged back.
• You misuse the App in ways that harm other users or the Platform.
• Required by court order or government authority.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted, error-free, or always-accurate service.
• We are not liable for any indirect, consequential, or incidental damages, or for any financial or business loss arising from reliance on the App’s announcements.

13. Indemnification

You agree to indemnify and hold harmless HouseofTech Innovation Pvt Ltd, its officers, employees, and partners from any claims arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your infringement of any third-party right

14. Privacy Policy

Your use of UPI Soundbox Alert is also governed by our Privacy Policy, which explains how your data — including SMS permission usage — is handled.

15. Modifications to Terms

• We may update these Terms at any time. Material changes will be communicated through the App.
• Continued use of the Platform after updates means you accept the revised Terms.

16. Governing Law & Jurisdiction

• These Terms are governed by the laws of India.
• Disputes shall fall under the exclusive jurisdiction of courts in Gurgaon, Haryana.
