These Terms and Conditions (“Terms”) govern your access to and use of the Reelavant application, website, software, and related services (collectively, the “Platform”), operated by HouseofTech Innovation Pvt Ltd (“we”, “us”, “our”, or the “Company”).

By accessing, downloading, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

Reelavant is an AI tool for Instagram creators. It provides content ideas, writes reel scripts and captions, offers feedback on your reels, and can automatically reply to direct messages (DMs) from users who comment a specific keyword. Basic idea generation is free. Advanced AI scripting, detailed reel feedback, and automated DM replies are part of Reelavant Plus, a paid subscription with monthly and yearly options and usage limits described in our Payment & Cancellation Policy.

2. An AI Assistant, Not a Guarantee of Success

• We do not verify the accuracy, appropriateness, or legal compliance of any script, caption, or automated message you generate or send using the App.
• Requirements for acceptable automation differ by platform. Confirm that your use of keyword-triggered DM replies meets the rules that apply to your Instagram account type.
• Reelavant is not marketing, legal, or professional advice, and is not a substitute for your own creative judgment.
• Features, tools, and limits may be updated, replaced, or removed at any time, and may vary by region, device, plan, and server load. Some features depend on third-party API access (such as the Instagram API) and may be suspended if that access changes.

3. AI Generation & Feedback — Accuracy Disclaimer

• AI generation runs only when you submit a prompt, topic, or reel draft. It processes your input to generate text or feedback.
• Automated DM replies are triggered by keywords you configure. You are responsible for monitoring your inbox to ensure the AI is replying correctly and appropriately to your audience.
• AI requests and automated replies are subject to fair-use limits, which may be adjusted to keep the service available to all users.
• We are not liable for any action taken, or not taken, on the basis of AI output, nor for any reputational damage or account suspension resulting from your use of the App.

4. Eligibility

• You must be at least 13 years old to use the App, and at least 18 years old (or the age of majority where you live) to purchase a subscription, or have the consent of a parent or guardian.
• By connecting an Instagram account to the Platform, you confirm you are the authorized owner or administrator of that account.
• By using the Platform you confirm you have the legal capacity — and, where you act for a business or employer, the authority — to accept these Terms.

5. Account Registration

• An account is required to save content ideas, generate scripts, receive reel feedback, and configure DM auto-replies.
• You register using your mobile number and a one-time password (OTP) sent to it. There is no separate password.
• To use DM auto-reply features, you must link your Instagram account and grant the necessary permissions via the official Meta API.
• You are responsible for keeping your mobile number and device secure and for all activity under your account. Tell us immediately if you lose control of the number or device linked to your account.
• You agree to provide accurate and complete information, and to use a mobile number you are entitled to use.
• We may suspend or terminate accounts with false, misleading, or shared credentials.

6. Your Content

• The prompts and keywords you enter, the reel drafts you upload, and the scripts, captions, and replies you generate (“Your Content”) remain yours. We claim no ownership over them.
• Your Content is transmitted to us so we can provide the requested AI generation, feedback, and automation features to you.
• You grant us a limited licence to host, store, process, and transmit Your Content solely to provide the requested features to you. We do not use Your Content for advertising, and we do not use it to train AI models.
• You confirm that you own Your Content or otherwise have the right to process and share it, including where it contains third-party intellectual property.
• You are responsible for keeping your own copies of scripts and captions you cannot afford to lose.

7. Our Content & Your Licence to Use the App

• All software, design, layout, branding, text, icons, and graphics forming part of the App (the “Content”) are owned by or licensed to HouseofTech Innovation Pvt Ltd and are protected by intellectual-property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your own personal or internal business purposes, while your account and (where applicable) subscription are active.
• Scripts and captions you produce are yours to use, including commercially. You may not resell, redistribute, or sublicense the App itself or your subscription, or build a competing product from it.
• The App includes open-source components, which remain governed by their own licences.

8. Acceptable Use & Restrictions

You agree not to:

• Use the App to generate spam, hate speech, harassment, or deceptive content.
• Use DM automation to spam users, send unsolicited promotional material, or otherwise violate Instagram’s Community Guidelines or Terms of Use.
• Upload or process personal data of individuals where you have no lawful basis to do so.
• Use the AI to generate unlawful or harmful content, or to attempt to extract data belonging to other users.
• Resell, sublicense, or commercially redistribute the App or your subscription, or provide access to third parties via automation or scraping.
• Reverse engineer or attempt to extract source code or proprietary systems.
• Circumvent usage limits, quotas, paywalls, or entitlement checks, or share a subscription across multiple people.
• Attempt to access another user’s account, connected social profiles, or generated content.
• Upload malware, or files designed to disrupt, overload, or exploit the Platform or its infrastructure.
• Use the Platform for any unlawful, abusive, or harmful purpose.

9. Subscription, Pricing & Payments

• Reelavant Plus is offered through paid subscription plans (currently monthly and yearly, with introductory or trial offers from time to time), and may include one-time in-app purchases.
• Current pricing and plan limits are displayed inside the App at the time of purchase, in your local currency where supported. Prices may vary by region and may change at any time; existing active subscriptions remain at the agreed price until renewal.
• Payments are processed by RBI-licensed payment gateway partners (such as Razorpay, PhonePe, or similar providers). The active payment gateway may change from time to time without prior notice. Billing is direct via these gateways.
• We do not store your full card or banking details on our servers.
• Subscriptions auto-renew until cancelled. See our Payment & Cancellation Policy for full details.
• Prices may be inclusive or exclusive of taxes (GST, VAT, sales tax) depending on your region; any applicable taxes are shown at checkout.

10. Usage Limits & Fair Use

• Free and paid plans carry limits — for example on the number of AI scripts generated, the length of reel drafts analyzed, and the volume of automated DM replies sent per month. Current limits are shown in the App.
• We may set, adjust, or enforce these limits to keep the service reliable and affordable, and to prevent abuse. Material reductions affecting an active paid plan will be notified in advance.
• Automated, bulk, or commercial-scale processing beyond normal individual creator use may be throttled or suspended.

11. Refund & Cancellation

• You may cancel auto-renewal at any time before the next billing cycle. Cancellation prevents future charges; current period access continues until expiry.
• There is NO in-app cancel button. To cancel your subscription, you must use one of exactly two routes: (A) in your UPI or bank app, find AutoPay and pause or cancel the mandate; or (B) email our support address at support@houseoftech.ai.
• Completed payments are non-refundable except as described in our policy or where required by applicable consumer law (including any statutory withdrawal/cooling-off rights in your country).

12. Disclaimer

• The Platform is provided on an “as is” basis and is not guaranteed to produce content that is accurate, complete, or guaranteed to improve your social media metrics.
• Automated DM replies depend on third-party APIs and may occasionally fail to trigger or send delayed responses. Always monitor your inbox to ensure messages are being handled correctly.
• We do not guarantee that scripts, captions, or automated messages created with the App will be favored by the Instagram algorithm or accepted by your audience.

13. Service Availability & Data

• We aim for continuous availability but do not guarantee uninterrupted access. Maintenance, updates, or outages at our infrastructure, AI providers, or Meta’s API may temporarily affect the service.
• DM automation relies on a continuous connection to your Instagram account. If your access token expires or is revoked by Meta, automation will pause until you reconnect.
• We take reasonable measures to protect stored data, but you should keep your own copies of critical scripts and content plans.

14. Third-Party Services

• The Platform integrates third-party services such as Meta/Instagram (for API access and DM routing), Google Cloud (application hosting), SMS/OTP delivery providers, large-language-model providers for AI generation, payment gateways (Razorpay, PhonePe), and analytics tools.
• These services operate under their own terms and privacy policies. We are not responsible for their independent functionality, API changes, or policies.

15. Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms, our usage rules, or applicable law.
• You use the App to spam users or violate Instagram’s Terms of Use.
• Payments fail, are disputed, or charged back.
• Meta revokes your API access due to policy violations.
• You misuse the App in ways that harm other users or the Platform.
• Required by court order or government authority.

16. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted, error-free, or always-accurate service.
• We are not liable for any indirect, consequential, or incidental damages, or for loss of profit, revenue, business, goodwill, or data — including loss of your Instagram account, decreased engagement, or any decision made on the basis of AI output.
• Our total aggregate liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
• Nothing in these Terms excludes liability that cannot be excluded under applicable law, or limits any non-waivable statutory consumer rights in your country of residence.

17. Indemnification

You agree to indemnify and hold harmless HouseofTech Innovation Pvt Ltd, its officers, employees, and partners from any claims arising from:

• Your use or misuse of the Platform
• Content you generate, post, or send via automated DMs
• Claims brought by Meta Platforms, Inc. or any recipient of your automated messages
• Your violation of these Terms or Instagram’s Terms of Use
• Your infringement of any third-party right

18. Privacy Policy

Your use of Reelavant is also governed by our Privacy Policy, which explains how your data, connected accounts, and generated content are handled.

19. Modifications to Terms

• We may update these Terms at any time. Material changes will be communicated through the App.
• Continued use of the Platform after updates means you accept the revised Terms.

20. Governing Law & Jurisdiction

• These Terms are governed by the laws of India, without prejudice to any mandatory consumer-protection rules of the country where you habitually reside.
• Subject to such mandatory rules, disputes shall fall under the exclusive jurisdiction of courts in Gurgaon, Haryana, India.
