These Terms and Conditions (“Terms”) govern your access to and use of the Invoicely mobile application, website, software, and related services (collectively, the “Platform”), operated by HouseofTech Innovation Pvt Ltd (“we”, “us”, “our”, or the “Company”).
By accessing, downloading, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. About the Platform
Invoicely is an invoice maker and billing app for freelancers, shops, agencies, and small businesses. It lets you create a business profile, save customer records, build invoices with line items, HSN/SAC codes, discounts and tax, track invoice status, and generate and share invoice PDFs. Some features are free; premium features may require a paid subscription or in-app purchase.
2. A Tool, Not Professional Advice
Invoicely is a document-creation and record-keeping tool. Every invoice it produces is built from the figures, tax rates, and details you enter. It is not accounting, tax, legal, or financial advice, and it is not a substitute for a qualified chartered accountant, tax practitioner, or lawyer. You are solely responsible for the accuracy, legality, and completeness of every invoice you issue, and for your own tax filing and compliance.
- We do not verify your tax rates, tax registration number (GSTIN/VAT), HSN/SAC codes, invoice numbering sequence, or the mandatory fields required in your jurisdiction.
- Invoicely does not file returns, does not transmit invoices to any tax authority, and does not generate government e-invoice reference numbers (such as an IRN) unless expressly stated in the App.
- Invoice format and content requirements differ by country, state, and business type, and change over time. Confirm with your own advisor that the invoices you issue meet the rules that apply to you.
- Invoicely does not collect money from your customers. Payment against any invoice is settled directly between you and your customer, and we are not a party to that transaction and give no guarantee that you will be paid.
- Features and content libraries may be updated, replaced, or removed at any time, and may vary by region, device, plan, and server load.
3. Eligibility
- You must be at least 18 years old (or the age of majority where you live) to use the App and to purchase a subscription.
- Invoicely is intended for business use. By using the Platform you confirm you have the legal capacity — and, where you act for a business or employer, the authority — to accept these Terms.
4. Account Registration
- You register using your email address and a password. Your invoices, customers, and business profile are tied to that account.
- You are responsible for the security of your account credentials and for all activity under your account.
- You agree to provide accurate and complete information, including in your business profile.
- We may suspend or terminate accounts with false, misleading, or shared credentials.
5. Your Content & Your Customers’ Data
- Business profile details, customer records, invoices, and any logo you upload (“Your Content”) remain yours. We claim no ownership over them.
- You grant us a limited licence to host, store, process, transmit, and display Your Content solely to operate and provide the Platform to you.
- Where you enter personal data about your customers, you are the controller of that data and we act as your processor. You confirm you have a lawful basis to enter it and that you will comply with the privacy laws applicable to your business.
- You are responsible for keeping your own copies of records you are legally required to preserve. We are not your statutory books of account.
6. Our Content & Your Licence to Use the App
- All software, invoice templates, design, layout, branding, text, and graphics forming part of the App (the “Content”) are owned by or licensed to HouseofTech Innovation Pvt Ltd and are protected by intellectual-property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App and its templates to run your own business, while your account and (where applicable) subscription are active.
- Invoices you generate are yours to issue commercially to your customers. You may not resell, redistribute, or sublicense the App itself, its templates, or your subscription, or build a competing product from them.
7. Acceptable Use & Restrictions
You agree not to:
- Use the App to create false, fraudulent, backdated, or misleading invoices, or to evade tax, launder money, or defraud any person or authority.
- Issue invoices in the name of a business you are not authorised to represent, or use a tax registration number that is not yours.
- Upload personal data of individuals you have no lawful basis to process, or use the App to send unsolicited bulk messages.
- Resell, sublicense, or commercially redistribute the App or your subscription, or provide access to third parties via automation/scraping.
- Reverse engineer or attempt to extract source code or proprietary systems.
- Circumvent usage limits, paywalls, or content protections.
- Attempt to access another user’s account, invoices, or customer data.
- Use the Platform for any unlawful, abusive, or harmful purpose.
8. Subscription, Pricing & Payments
- Premium features may be offered through paid subscription plans and/or one-time in-app purchases.
- Current pricing is displayed inside the App at the time of purchase, in your local currency where supported. Prices may vary by region and may change at any time; existing active subscriptions remain at the agreed price until renewal.
- Payments are processed by RBI-licensed payment gateway partners (such as Razorpay, PhonePe, or similar providers), supporting UPI & UPI Autopay, credit/debit cards, and netbanking. The active payment gateway may change from time to time without prior notice.
- We do not store your full card or banking details on our servers.

- Prices may be exclusive of taxes (VAT, GST, sales tax) depending on your region; any applicable taxes are shown at checkout.
9. Refund & Cancellation
- You may cancel auto-renewal at any time before the next billing cycle. Cancellation prevents future charges; current period access continues until expiry.
- Completed payments are non-refundable except as described in our policy or where required by applicable consumer law (including any statutory withdrawal/cooling-off rights in your country).

10. Disclaimer
- The Platform and its templates are provided on an “as is” basis and are not guaranteed to be accurate, complete, or compliant with the tax or invoicing rules of any particular jurisdiction.
- We do not guarantee any specific business, financial, tax, or legal outcome, and we do not guarantee that your customers will pay your invoices.
- You are solely responsible for the invoices you issue, the figures you enter, and your compliance with the laws that apply to your business.
- We are not liable for penalties, interest, notices, assessments, or disputes arising from invoices you create using the App.
11. Service Availability & Data
- We aim for continuous availability but do not guarantee uninterrupted access. Maintenance, updates, or outages at our infrastructure providers may temporarily affect the service.
- We take reasonable measures to protect and back up stored data, but you should keep your own copies of critical invoices and financial records.
12. Third-Party Services
- The Platform integrates third-party services such as Supabase (authentication, database, storage), cloud hosting and content-delivery networks, payment gateways (Razorpay, PhonePe), and analytics tools.
- These services operate under their own terms and privacy policies. We are not responsible for their independent functionality or policies.
13. Suspension & Termination
We may suspend or terminate your account if:
- You violate these Terms, our usage rules, or applicable law.
- You use the App to create fraudulent or unlawful invoices.
- Payments fail, are disputed, or charged back.
- You misuse the App in ways that harm other users or the Platform.
- Required by court order or government authority.
Where lawful and practical, we will give you a reasonable opportunity to export your invoice data before termination takes effect.
14. Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided on an “as is” and “as available” basis.
- We do not guarantee uninterrupted, error-free, or always-accurate service.
- We are not liable for any indirect, consequential, or incidental damages, or for loss of profit, revenue, business, goodwill, or data, including any tax penalty or unpaid invoice arising from your use of the App.
- Our total aggregate liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law, or limits any non-waivable statutory consumer rights in your country of residence.
15. Indemnification
You agree to indemnify and hold harmless HouseofTech Innovation Pvt Ltd, its officers, employees, and partners from any claims arising from:
- Your use or misuse of the Platform
- Invoices you issue and the figures, tax treatment, or claims contained in them
- Your handling of your customers’ personal data
- Your violation of these Terms
- Your infringement of any third-party right
16. Privacy Policy
Your use of Invoicely is also governed by our Privacy Policy, which explains how your personal and business data is handled.
17. Modifications to Terms
- We may update these Terms at any time. Material changes will be communicated through the App.
- Continued use of the Platform after updates means you accept the revised Terms.
18. Governing Law & Jurisdiction
- These Terms are governed by the laws of India, without prejudice to any mandatory consumer-protection rules of the country where you habitually reside.
- Subject to such mandatory rules, disputes shall fall under the exclusive jurisdiction of courts in Gurgaon, Haryana, India.
