These Terms and Conditions (“Terms”) govern your access to and use of the Vyapar mobile application, website, software, and related services (collectively, the “Platform”), operated by HouseofTech Innovation Pvt Ltd (“we”, “us”, “our”, or the “Company”).

By accessing, downloading, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

Vyapar is a business poster maker app. It enables small business owners, shopkeepers, professionals, and creators to design marketing posters, festival greetings, offer creatives, social-media banners, and other business posters using ready-made templates and editing tools. Templates and content are curated and updated by the Company; certain templates and features are available only to paid subscribers.

2. Eligibility

• You must be at least 13 years old to use the Platform. Vyapar is primarily designed for business owners.
• If you are under 18, you must use the Platform under parental or guardian supervision.
• By using the Platform, you confirm that you have the legal capacity to accept these Terms.

3. Account Registration

• Account creation is required for most features and is performed via OTP-based mobile verification.
• You are responsible for the security of your registered phone number and OTP.
• You agree to provide accurate and complete information, including your business profile details.
• We may suspend or terminate accounts with false, misleading, or shared credentials.

4. License & Usage Rights

4.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform and its templates to create and share posters for your own business or personal use. Posters created within Vyapar may be downloaded and shared on platforms such as WhatsApp, Instagram, Facebook, and similar channels to market your business.

4.2 Restrictions

You agree not to:

• Resell, sublicense, or redistribute Vyapar templates, stock images, fonts, or design assets to third parties as standalone resources.
• Use the Platform to operate a competing poster-maker, template marketplace, or design-as-a-service business.
• Remove the Vyapar watermark on free plans, or attempt to bypass paywalled content.
• Upload logos, photos, brand assets, or text that you do not own or have permission to use.
• Create posters that defame, demean, or incite hatred against any community, religion, caste, or individual; or that promote illegal goods, services, or activities.
• Reverse engineer or attempt to extract source code, template files, or design databases.
• Use the Platform for unlawful, abusive, or harmful purposes.
• Share your account, OTP, or active subscription with others.

5. Subscription, Pricing & Payments

• Premium templates and features are available through paid subscription plans.
• Current pricing is displayed inside the App and on the paywall screen at the time of purchase.
• Prices are in INR and inclusive of applicable taxes unless stated otherwise. Prices may change at any time without prior notice; existing active subscriptions remain at the price agreed at purchase until renewal.
• Payments are processed securely via RBI-licensed payment gateway partners (such as Razorpay, PhonePe, or similar providers) supporting UPI, cards, netbanking, and UPI Autopay. The active payment gateway may change from time to time without prior notice.
• We do not store your full card or banking details on our servers.
• Subscriptions auto-renew via UPI Autopay or card mandate until cancelled. See our Payment & Cancellation Policy for full details.

6. Refund & Cancellation

• You may cancel auto-renewal at any time before the next billing cycle, either from your UPI / bank app or by emailing support@houseoftech.ai. Cancellation prevents future charges; current period access continues until expiry.
• Due to the digital nature of the content, all completed payments are non-refundable except where required by applicable law.

7. Content Disclaimer

• Vyapar templates are provided for personal and business marketing use. They are starting points — you are responsible for the final poster you publish.
• You are solely responsible for the accuracy of business information, offers, prices, dates, contact details, and any claims that appear in posters you create.
• Festival, holiday, and event-themed templates reflect commonly observed dates; you should verify the exact date for your region before publishing.
• We do not guarantee any specific business, marketing, or sales outcome from using the Platform.

8. User Conduct

• You are responsible for the lawful and respectful use of the Platform and any poster created through it.
• Do not use the Platform to create or share content that is misleading, fraudulent, defamatory, obscene, hateful, or that infringes third-party rights.
• Do not impersonate any other business, brand, or individual through your posters.
• Misuse may result in suspension or termination of your account and reporting to authorities where applicable.

9. Intellectual Property Rights

• All templates, stock images, illustrations, fonts, artwork, audio, designs, branding, and software on the Platform are owned by or licensed to HouseofTech Innovation Pvt Ltd.
• You receive a personal/business-use license only; no ownership transfers to you.
• Logos, photos, and text that you upload remain your property — you grant us a limited license to host and process them solely to provide the Platform to you.
• Unauthorised commercial reproduction, redistribution, or modification of Vyapar templates or assets may result in legal action.

10. Third-Party Services

• The Platform integrates third-party services such as payment gateway partners (e.g., Razorpay, PhonePe), voicensms.in (OTP delivery), cloud storage providers, and analytics tools.
• These services operate under their own terms and privacy policies. We are not responsible for their independent functionality or policies.

11. Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms or applicable law.
• Payments fail, are disputed, or chargedback.
• You misuse content in ways that harm other users or the Platform.
• Required by court order or government authority.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted or error-free service.
• We are not liable for any indirect, consequential, or incidental damages, or for any loss arising from posters published or shared by users.

13. Indemnification

You agree to indemnify and hold harmless HouseofTech Innovation Pvt Ltd, its officers, employees, and partners from any claims arising from:

• Your use or misuse of the Platform or its content
• Your violation of these Terms
• Your infringement of any third-party intellectual-property, publicity, or other right (including content you upload or publish)

14. Privacy Policy

Your use of Vyapar is also governed by our Privacy Policy, which explains how your data is collected and used.

15. Modifications to Terms

• We may update these Terms at any time. Material changes will be communicated through the App.
• Continued use of the Platform after updates means you accept the revised Terms.

16. Governing Law & Jurisdiction

• These Terms are governed by the laws of India.
• Disputes shall fall under the exclusive jurisdiction of courts in Gurgaon, Haryana.
