These Terms and Conditions (“Terms”) govern your access to and use of the Fluenly mobile application, website, software, and related services (collectively, the “Platform”), operated by HouseofTech Innovation Pvt Ltd (“we”, “us”, “our”, or the “Company”).

By accessing, downloading, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

Fluenly is a spoken-English learning app that helps users build English fluency through short lessons, conversation practice, pronunciation drills, vocabulary builders, grammar guides, speaking exercises, and quizzes. Content is curated and updated by the Company; certain content and features are available only to paid subscribers.

2. Eligibility

• You must be at least 13 years old to use the Platform.
• If you are under 18, you must use the Platform under parental or guardian supervision.
• By using the Platform, you confirm that you have the legal capacity to accept these Terms.

3. Account Registration

• Account creation is required for most features and is performed via OTP-based mobile verification.
• You are responsible for the security of your registered phone number and OTP.
• You agree to provide accurate and complete information.
• We may suspend or terminate accounts with false, misleading, or shared credentials.

4. License & Usage Rights

4.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access the Platform for personal, non-commercial learning use. Lessons, videos, audio, quizzes, and study material are streamed for your individual learning and may not be redistributed.

4.2 Restrictions

You agree not to:

• Resell, sublicense, or commercially exploit any content.
• Record, download, screen-capture, or rip lessons, videos, or audio for redistribution.
• Modify, edit, or remove watermarks or branding from any Platform content.
• Use Platform content to defame, demean, or incite hatred against any community, religion, caste, or individual.
• Reverse engineer or attempt to extract source code, content databases, or speech models.
• Use the Platform for unlawful, abusive, or harmful purposes.
• Share your account, OTP, or active subscription with others.
• Submit voice recordings that contain another person’s voice without their consent, or audio that is unlawful, abusive, or defamatory.

5. Subscription, Pricing & Payments

• Premium content and features are available through paid subscription plans.
• Current pricing is displayed inside the App and on the paywall screen at the time of purchase.
• Prices are in INR and inclusive of applicable taxes unless stated otherwise. Prices may change at any time without prior notice; existing active subscriptions remain at the price agreed at purchase until renewal.
• Payments are processed securely via RBI-licensed payment gateway partners (such as Razorpay, PhonePe, or similar providers) supporting UPI, cards, netbanking, and UPI Autopay. The active payment gateway may change from time to time without prior notice.
• We do not store your full card or banking details on our servers.
• Subscriptions auto-renew via UPI Autopay or card mandate until cancelled. See our Payment & Cancellation Policy for full details.

6. Refund & Cancellation

• You may cancel auto-renewal at any time before the next billing cycle. Cancellation prevents future charges; current period access continues until expiry.
• Due to the digital nature of the content, all completed payments are non-refundable except where required by applicable law.

7. Content Disclaimer

• Fluenly content is published for personal English-learning and information only. It is not a substitute for formal qualification, a certified language course, or professional language tutoring.
• Pronunciation, fluency, and speaking-practice feedback is generated by automated speech models; we make reasonable efforts toward accuracy but do not guarantee that every assessment is exhaustive or error-free.
• We make reasonable efforts to keep grammar, vocabulary, and exam-related content accurate, but the Company does not guarantee that every fact or interpretation is exhaustive or error-free.
• We do not guarantee any specific English fluency level, exam result, score, or career outcome from using the Platform.

8. User Conduct

• You are responsible for the lawful and respectful use of the Platform and any content accessed through it.
• Do not use the Platform to harass, threaten, or incite violence against any individual or group.
• Misuse may result in suspension or termination of your account and reporting to authorities where applicable.

9. Intellectual Property Rights

• All lessons, videos, audio, quizzes, artwork, designs, branding, and software on the Platform are owned by or licensed to HouseofTech Innovation Pvt Ltd.
• You receive a personal-use license only; no ownership transfers to you.
• Unauthorised commercial reproduction, redistribution, or modification may result in legal action.

10. Third-Party Services

• The Platform integrates third-party services such as payment gateway partners (e.g., Razorpay, PhonePe), voicensms.in (OTP delivery), cloud storage providers, speech-recognition and AI providers (powering pronunciation and fluency feedback), and analytics tools.
• These services operate under their own terms and privacy policies. We are not responsible for their independent functionality or policies.

11. Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms or applicable law.
• Payments fail, are disputed, or chargedback.
• You misuse content in ways that harm other users or the Platform.
• Required by court order or government authority.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted or error-free service.
• We are not liable for any indirect, consequential, or incidental damages, or for misuse of accessed content by users or third parties.

13. Indemnification

You agree to indemnify and hold harmless HouseofTech Innovation Pvt Ltd, its officers, employees, and partners from any claims arising from:

• Your use or misuse of the Platform or its content
• Your violation of these Terms
• Your infringement of any third-party right

14. Privacy Policy

Your use of Fluenly is also governed by our Privacy Policy, which explains how your data is collected and used.

15. Modifications to Terms

• We may update these Terms at any time. Material changes will be communicated through the App.
• Continued use of the Platform after updates means you accept the revised Terms.

16. Governing Law & Jurisdiction

• These Terms are governed by the laws of India.
• Disputes shall fall under the exclusive jurisdiction of courts in Gurgaon, Haryana.
